Dear Prospective Organizer,

This document was created to inform prospective organizers about the opportunity to join us in creating a new company to own and operate Dynamite Beer Company’s new brewery, taproom and venue in Cave Creek, AZ.

 

The taproom and future music venue will occupy a building in historic Cave Creek with unique architecture, an impressive lot size and mountain views. The taproom will be designed in a modern desert aesthetic, and we believe it will quickly become known as the premier craft beer destination in the rapidly growing North Valley. When we enter the market, we will be poised to far surpass the conservative financial forecast we've created for you here. 

 

Brewing operations will be conducted in Denver, Colorado by a contract brewer using Dynamite Beer proprietary recipes, which we believe will save the Company millions in start-up costs and logistical complexities. The brewing facility boasts state-of-the-art equipment and will deliver an incredible product under our brand name.

Our long-term goal is to consistently produce outstanding craft beer, create a distinct brand identity, and inspire trust and loyalty in our customers, while taking a strong first position in the regional craft beer market. We are building an iconic beer brand.

 

Prior to a scheduled opening in mid-2025, we intend to fully develop our brand strategy, positioning, and architecture.

This is the business plan for Dynamite Cave Creek LLC (also referred to herein as "the Company," or "Dynamite CC"). The Founders will be organizers of the Company, and intend to contribute this Business Plan, the lease, contracts, valuable relationships, and other consideration for Units of Common Membership Interest in Dynamite CC. Other organizers will contribute $1,250,000 for Series A Preferred Units.

THE FOUNDERS

The Founders include Mike Chapman and Laura Chapman, the owners of Desert City Brewing Company, LLC, and Derek Imes.

LOCATION

Dynamite Cave Creek is located at 6025 E. Cave Creek Rd, Cave Creek, AZ. The building is approximately 5,058 square feet and boasts a 5,000 square foot patio. The lot is approximately 30,251 square feet.

LEASE

We have negotiated a lease of the premises for an initial term of 10 years with options to renew at our sole discretion for 3 additional 5-year terms. In addition, we also have negotiated the use of a 12,750sf parking lot adjacent to the premises, giving us a total of 45 parking spots. A final draft copy of the lease and separate parking agreement are available for review by prospective organizers. Monthly base rent is $8,430 with a tenant improvement allowance of $75,000.
